Vancouver-based plant-based meat company The Better Butchers has signed a letter of intent, dated May 11, 2026, to go public on the Canadian Securities Exchange through a reverse takeover of shell company Health Logic Interactive Inc., with a definitive agreement targeted by October 31, 2026, subject to regulatory approval.
To fund the transaction, The Better Butchers will complete a seed financing of CA$750,000 at CA$0.10 per share, followed by a concurrent financing round targeting between CA$2 million and CA$3 million at CA$0.15 per share. Health Logic will consolidate its shares and rebrand as The Better Butchers Inc. upon closing, with current CEO Mitchell Scott retaining the chief executive role at the resulting public company.
Forager’s Finest brand and retail footprint
The Vancouver-based company sells plant-based meat alternatives under the Forager’s Finest brand, built on a proprietary blend of oyster mushroom and pea protein. The current range covers three ground meat SKUs in natural, Italian, and chorizo formats, each delivering 21 grams of protein per serving. Products are gluten-free, allergen-free, and contain no added colours or flavours. The chorizo variety received the Gold award at the BCFB Product of the Year competition. Distribution currently spans approximately 250 retail locations across Canada, with market entry into the United States and Europe planned to follow the public listing.

From cultivated meat butchery to plant-based launch
Scott co-founded The Very Good Food Company, whose plant-based meat brand The Very Good Butchers entered receivership in January 2023. He launched The Better Butchers later that year alongside co-founder and CTO Celeste Trujillo. The company originally set out to open Canada’s first cultivated meat butchery, establishing research collaborations with McMaster University, before pivoting in March 2024 to launch plant-based products under the Forager’s Finest brand as regulatory pathways for cultivated meat remained several years away. Cultivated meat research continues through the McMaster partnership and participation in a four-year Genome Canada project on cellular agriculture.
Prior acquisition attempt did not close
The Health Logic agreement follows a failed acquisition by a separate CSE-listed entity. In December 2024, CULT Food Science, a company Scott was simultaneously serving as CEO of, signed a binding letter of intent to acquire The Better Butchers. That transaction did not close. The reverse takeover with Health Logic represents a new route to the public markets for the Vancouver company.
